AdToken Terms and Conditions

1. Introduction
Welcome to AdToken. These Terms and Conditions ("Terms") govern your use of the AdToken platform ("Platform"), including all services provided therein. By accessing or using our Platform, you agree to comply with and be bound by these Terms. If you do not agree with these Terms, please refrain from using the Platform.
2. Definitions
"AdToken," "we," "us," or "our" refers to the entity providing the Platform services.
"User," "you," or "your" refers to any individual or entity accessing or using the Platform.
"Advertiser" refers to users who create and manage advertising campaigns on the Platform.
"Publisher" refers to users who display advertisements on their websites or platforms.
"Content" refers to any materials, including advertisements, text, images, videos, and links, uploaded or displayed on the Platform.
3. User Eligibility
By using the Platform, you represent and warrant that:
You are at least 18 years old or the legal age of majority in your jurisdiction.
You have the legal capacity to enter into binding agreements.
All information you provide is accurate, current, and complete.
4. Account Registration and Security
Users must register an account to access certain features of the Platform.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
Notify us immediately of any unauthorized use of your account or any other security breach.
5. Advertiser Obligations
Advertisers agree to:
Ensure that all advertising content complies with applicable laws, regulations, and industry standards.
Not upload or distribute content that is false, misleading, defamatory, obscene, or infringes on third-party rights.
Adhere to the payment terms specified in their agreements with AdToken.
6. Publisher Obligations
Publishers agree to:
Ensure that their platforms do not contain content that is illegal, harmful, or offensive.
Not engage in fraudulent activities, including but not limited to click fraud or artificial traffic generation.
Comply with the integration guidelines provided by AdToken for displaying advertisements.
7. Payment Terms
Advertisers: Agree to pay all fees associated with their advertising campaigns as per the agreed-upon rates and schedules.
Publishers: Will receive compensation based on the valid interactions with the advertisements displayed on their platforms, as measured by AdToken's tracking systems.
All payments will be processed in [Specify Currency] and are exclusive of taxes, which are the responsibility of the paying party.
8. Intellectual Property Rights
AdToken retains all rights, title, and interest in and to the Platform, including all related intellectual property rights.
Users retain ownership of the content they upload but grant AdToken a worldwide, royalty-free, non-exclusive license to use, reproduce, modify, and display such content in connection with the provision of services.
9. Confidentiality
Users agree not to disclose any confidential information obtained through the Platform without prior written consent from the disclosing party.
10. Limitation of Liability
To the fullest extent permitted by law:
AdToken shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (i) your use or inability to use the Platform; (ii) any unauthorized access to or use of our servers and/or any personal information stored therein.
AdToken's total liability for any claim arising out of or relating to these Terms or the Platform shall not exceed the amounts paid by you to AdToken in the twelve (12) months immediately preceding the event that gave rise to the claim.
11. Indemnification
You agree to indemnify, defend, and hold harmless AdToken, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of the Platform, your violation of these Terms, or your infringement of any intellectual property or other rights of any third party.
12. Termination
AdToken reserves the right to suspend or terminate your account and access to the Platform at its sole discretion, with or without notice, for conduct that it believes violates these Terms or is harmful to other users of the Platform, AdToken, or third parties, or for any other reason.
You may terminate your account at any time by following the instructions available on the Platform. Upon termination, you must cease all use of the Platform.
13. Modifications to Terms
AdToken reserves the right to modify these Terms at any time. Any changes will be effective immediately upon posting on the Platform. Your continued use of the Platform following the posting of revised Terms means that you accept and agree to the changes.
14. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of [Specify Jurisdiction], without regard to its conflict of law principles.
